These Terms & Conditions (“Terms”) govern your access to and use of the Diem website, desktop application, and related services (collectively, the “Services”) operated by Diem Data Management Inc. (doing business as Diem) (“we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms.

2. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms and are not prohibited from using the Services under applicable law.
3. The Services
Diem provides a desktop software application that allows users to connect storage devices and folders, view, organize, preview, and search files, and optionally use AI-powered features.
Local-First Design
Diem is designed to process files locally on your device wherever possible. You control which drives, folders, and files are connected.
No Cloud Storage
Diem is not a cloud storage service. We do not host or back up your files unless explicitly stated.
4. Accounts
You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
5. User Content and Files
Ownership
You retain full ownership of all files and content you connect to or process using Diem.
License to Operate the Services
You grant Diem a limited, non-exclusive, revocable license to process your content solely as necessary to provide the Services.
Responsibility
You are solely responsible for ensuring your content is lawful and that you have the right to process it.
6. AI Features
AI-powered features are optional and provided as assistive tools. We do not use your files or AI interactions to train models.
7. Acceptable Use
You agree not to misuse the Services, attempt to reverse engineer the software, interfere with security, or violate applicable laws.
8. Payments and Subscriptions
Certain features may require payment. Billing terms will be disclosed at purchase. Subscriptions may renew automatically unless cancelled.
9. Beta Features
Some features may be released as beta or early access. These features may be unstable and are used at your own risk.
10. Intellectual Property
All intellectual property related to the Services (excluding User Content) is owned by Diem or its licensors.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access if these Terms are violated or required by law.
12. Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind.
13. Limitation of Liability
To the maximum extent permitted by law, Diem shall not be liable for indirect or consequential damages. Our total liability shall not exceed the greater of USD $100 or the amount paid by you in the previous 12 months.

15. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, and disputes shall be resolved in Wyoming courts.
